Terms of Use

1. Acceptance of Terms
By accessing, installing, or using the ToolingMind software, website, or services (“ToolingMind”, “the Application”, “the Service”), you agree to be bound by these Terms of Use. If you do not agree to these Terms, you must not use the Application.
These Terms apply to users located in Canada, the European Union, and internationally, unless otherwise specified by a separate written agreement.
2. Description of the Service
ToolingMind is an industrial decision-support software designed to analyze tooling performance, tooling life, and tooling-related costs using data provided by the client.
The Application integrates artificial intelligence agents that generate analytical insights and recommendations based exclusively on user-provided data.
ToolingMind is not a control system, not an automated decision-making authority, and does not replace professional engineering judgment or regulatory compliance obligations.
3. Deployment Models
3.1 Local Solutions (1 PC and 5 PC)
For Local 1 PC and Local 5 PC solutions:
- All customer data is generated, processed, and stored locally on the client’s infrastructure.
- ToolingMind does not collect, access, transmit, or store operational or production data remotely.
- The client remains fully responsible for data security, backups, and compliance with applicable regulations (including workplace, industrial, and data protection laws).
3.2 SaaS Solution
For the SaaS solution, usage is subject to a separate written contract (Master Service Agreement and/or Data Processing Agreement).
This contract defines:
- Data hosting location,
- Security measures,
- Access control,
- Data protection obligations,
- Regulatory compliance (including GDPR where applicable).
4. Client Data Responsibility
The client is solely responsible for:
- The accuracy, integrity, and legality of all data entered into ToolingMind.
- Verifying all outputs, dashboards, analyses, and AI-generated recommendations prior to implementation.
ToolingMind’s AI operates strictly on the basis of the data provided by the client. Incorrect or incomplete data will necessarily result in unreliable outputs.
5. Artificial Intelligence Disclaimer
The artificial intelligence components of ToolingMind:
- Provide decision-support assistance only,
- Do not guarantee cost reduction, performance improvement, or operational outcomes,
- Must always be validated by qualified personnel before any operational or financial decision is taken.
ToolingMind shall not be liable for decisions made solely or primarily on AI-generated recommendations.
6. License and API Key
6.1 License Scope
ToolingMind is licensed, not sold. Each license is:
- Assigned to a specific PC or number of PCs, according to the purchased offer,
- Non-transferable without prior written authorization.
6.2 API Key
Each licensed PC includes an API key priced at USD 100 per PC, intended to cover a long-term usage period estimated at five (5) years.
After this period:
- The client may renew or replace the API key under the commercial conditions applicable at that time.
- ToolingMind reserves the right to adjust pricing or technical terms for future API key renewals.
7. Intellectual Property
All software, algorithms, AI logic, interfaces, documentation, trademarks, and branding associated with ToolingMind are the exclusive intellectual property of ToolingMind.
Any unauthorized reproduction, modification, reverse engineering, resale, or redistribution is strictly prohibited.
8. Limitation of Liability
To the maximum extent permitted by applicable law (including Canadian and European law):
- ToolingMind shall not be liable for indirect, incidental, or consequential damages.
- ToolingMind’s total cumulative liability shall not exceed the amount paid by the client for the applicable license.
Nothing in these Terms limits liability where such limitation is prohibited by law.
9. Termination
ToolingMind may suspend or terminate access to the Application in the event of:
- Violation of these Terms,
- Unauthorized use or license breach,
- Non-compliance with contractual obligations.
10. Governing Law
Unless otherwise specified by contract:
- For Canadian clients: governed by the laws applicable in Canada and the relevant province.
- For European clients: governed in accordance with applicable EU and national laws.
